Welcome. These Terms of Service ("Terms") govern your use of the website and any services provided by CM Consulting Services Firm ("we", "us", "our"). By accessing or using the website or engaging our services, you agree to these Terms.
Services We provide political consulting, campaign strategy, communications, training, and related services as described on the website or in written proposals/agreements.
Scope & Written Agreements All paid engagements are governed by a written agreement (proposal, statement of work, or contract). If no separate agreement exists, these Terms apply.
Fees & Payment Fees, payment schedule, and any applicable taxes or processing fees will be specified in the written agreement. We may use third‑party payment processors; we do not store full payment card data.
Client Obligations You agree to provide timely access to information, approvals, and decision‑makers needed to perform services. You represent you have authority to retain us and that materials you provide do not violate third‑party rights.
Confidentiality Each party will keep confidential the other’s non‑public information and use it only to perform obligations. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law (with notice where permitted).
Intellectual Property We retain ownership of our preexisting tools, templates, methodologies, and intellectual property. Upon full payment, clients receive a license to use deliverables created specifically for them for internal campaign purposes as set out in the engagement. Additional uses require prior written permission and may incur fees.
Compliance & Legal Responsibilities Clients are responsible for complying with applicable election, campaign‑finance, advertising, and lobbying laws (including restrictions on foreign nationals). We will not knowingly take actions that would cause a violation of law. Clients must provide information reasonably necessary for legal compliance.
Privacy & Data We handle personal data in accordance with our Privacy Policy. Clients are responsible for lawful collection of any personal data provided to us. We may share data with service providers to perform services under written agreements that require data protection.
Disclaimers TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERVICES ARE PROVIDED "AS IS" AND WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT.
Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR ANY ENGAGEMENT IS LIMITED TO THE FEES PAID BY YOU FOR THE SPECIFIC SERVICES GIVING RISE TO LIABILITY. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Indemnification You will indemnify and hold us harmless from claims, losses, or liabilities arising from your materials, your violation of law, or your misuse of deliverables, except to the extent caused by our gross negligence or willful misconduct.
Termination Either party may terminate a written engagement for material breach if the breach is not cured within 30 days after written notice. On termination you will pay for services performed through the effective date of termination.
Subcontracting We may use subcontractors or third‑party vendors (hosting, analytics, payments) to perform services and remain responsible for their performance.
Governing Law & Jurisdiction These Terms are governed by the laws of the state where CM Consulting Services Firm is headquartered. Any legal action arising from or related to these Terms must be brought in the state or federal courts located in Weber County, Utah, and you consent to exclusive jurisdiction there.
Miscellaneous
Assignment: You may not assign these Terms without our prior written consent. We may assign to an affiliate or buyer.
Severability: If a provision is invalid, remaining provisions remain effective.
Entire Agreement: These Terms together with any written engagement constitute the entire agreement between the parties regarding the subject matter.
